These terms and conditions apply to all offers made by Rod Holt (trading as Newleaf Designs Limited), orders placed by you and all agreements concluded in relation to the products and services offered by Rod Holt/Newleaf.

Rod Holt/Newleaf reserves the right to make changes to the website, prices, and these terms and conditions at any time and at his sole discretion. You should review the terms and conditions each time you visit the website.

Copyright

Copyright in all artwork remains with Rod Holt. The customer is not permitted to reproduce, duplicate, copy, sell or otherwise exploit any artwork produced by Rod Holt for any commercial purpose, except as expressly agreed and authorised by Rod Holt.

Electronic Communications

You, the customer, consent to receive communications from Rod Holt/Newleaf Designs Ltd by email. You agree that all agreements, notices, disclosures and other communications that we provide to you by email satisfy any legal requirement that such communications be in writing.

Returns and Refunds

If for any reason you are not completely satisfied with your purchase, you may return it within 30 days of receipt and receive a free replacement or a full refund for the price of the product. Postage and packing charges will not be refunded.

To return your item(s) please pack them in the original tube or box, specify the reason for the return and what action you would like us to take: replacement or refund. We strongly encourage you to return your item via a trackable method.

Orders

Rod Holt/Newleaf reserves the right to decline or to accept any order. The customer shall not be entitled to cancel any order after the same has been accepted by Rod Holt/Newleaf save on terms expressly agreed by Rod Holt/Newleaf in writing.

Payment

Payments for original art and prints must be made (and cleared into our bank account) before despatch. Payments made electronically will be processed via PayPal.

Invoices shall be due and payable on receipt of the invoice by the customer. In the case of late payment Rod Holt/Newleaf reserves the right to charge interest at a daily rate equivalent to 4% over the base rate of Lloyds TSB Plc from time to time in force such interest shall accrue on the balance outstanding at such a rate after as well as before judgement.

Delivery

Charges include delivery (to mainland UK addresses) unless otherwise stated. Delivery charges to other destinations will be advised to the customer before despatch.

Estimates and Quotations for Work

Where Rod Holt/Newleaf provides an estimate or quotation for work (such as a commission to produce artwork) the effect is as follows:

An estimate is Rod Holt/Newleaf’s indication, made in good faith, of the likely charges for carrying out the work concerned based on the information supplied by the customer at the time the estimate is given. An estimate is subject to revision and does not amount to a contractual commitment on the part of Rod Holt/Newleaf to carry out the specified services for that charge. RodHolt/Newleaf will inform the customer promptly if it becomes apparent that Rod Holt/Newleaf’s charges are likely to exceed any estimate provided.

A quotation is proposed by Rod Holt/Newleaf to carry out specific work for a stated charge. If the customer accepts that proposal it then becomes a contractual commitment on the part of Rod Holt/Newleaf. If Rod Holt/Newleaf carries out work in excess of the specified services this will be charged at Rod Holt/Newleaf’s applicable current rates. Rod Holt/Newleaf reserves the right to make additional charges on the same basis for additional work arising from circumstances known to the customer when the quotation was accepted but not disclosed to Rod Holt/Newleaf. Rod Holt/Newleaf may also pass on to the customer any rise in the costs of production occurring after a quotation has been given.

Rod Holt/Newleaf may invoice the customer at periodic intervals as considers appropriate before completion of the specified services.

Rod Holt/Newleaf will seek the customer’s express agreement before incurring sums which are substantial in the context of the services in question. These items will be charged in addition to Rod Holt/Newleaf’s charges.

Liability

Rod Holt/Newleaf is not liable for any financial damage (including but not limited to the cost of any replacement purchase) that may occur because of non-timely arrival or any lack of availability or conformity of the product.

Except as is expressly provided in these terms and conditions, Rod Holt/Newleaf shall have no liability whatsoever (whether in tort, contract or otherwise) toward the customer except for liability for death or personal injury resulting from negligence.

Termination

If the customer commits any breach of these terms and conditions the agreement to provide products or services shall be terminated forthwith save that Rod Holt/Newleaf shall be entitled to immediate payment for any outstanding amounts.

General

These terms and conditions shall be construed and governed in all respects in accordance with the laws of England and any disputes or differences shall be subject to the exclusive jurisdiction of the English Courts. If any provision of these Terms and Conditions is held by the English Courts to be invalid or unenforceable in whole or in part the validity of the remaining conditions shall not be affected. Pursuant to Section 1(2)a of the Contracts (Right of Third Parties) Act 1999 none of these terms and conditions may be enforced by a Third Party.

 

Definitions
In these terms and conditions:

“Customer” means the person or company entering into an agreement with Rod Holt/Newleaf.

“Agreement” means an agreement between Rod Holt/Newleaf and the customer for the provision of products (these being original artwork, prints, commissions for artwork) and similar related services.

“Order” means the customer’s order for the provision of products and/or services by Rod Holt/Newleaf from time to time and any subsequent orders received from the customer to which these terms and conditions shall apply.
